Welcome to Philos Academy, a company dedicated to providing academic support services to student-athletes. These Terms of Use (“Terms”) govern your access to and use of our website, services, and any other related offerings (collectively, the “Services”). Please read these Terms carefully before using the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to all of the Terms, you are not authorized to use the Services.

By using Philos Academy’s academic support services, you acknowledge and agree to be bound by these Terms of Use. These terms may be updated or modified from time to time, and it is your responsibility to review them periodically.

2. Eligibility

Our services are exclusively for student-athletes. By using our services, you confirm that you are a student-athlete and that you will provide accurate and truthful information about your academic status.

3. Academic Integrity

We promote academic honesty and integrity. You agree not to engage in any form of academic dishonesty, including plagiarism or cheating, while using our services. Our support is designed to assist you in your learning journey while upholding the principles of academic integrity.

4. Fees and Payment

You agree to pay all fees associated with the Services you use. We will provide you with a clear and detailed breakdown of fees before you purchase any Services. We accept various payment methods, including credit cards, debit cards, and PayPal. You are responsible for ensuring that your payment information is accurate and up-to-date. We may offer refunds in certain circumstances, as detailed in our Refund Policy.

5. User Content

You are responsible for any content you submit to us (“User Content”). You represent and warrant that you own all rights to the User Content or have obtained all necessary permissions to submit it. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your User Content in connection with the Services. You agree that we will not be liable for any misuse of your User Content.

6. Code of Conduct

You agree to conduct yourself in a respectful and professional manner when interacting with Philos Academy’s academic coaches, tutors, and other users of our services. Any form of harassment, discrimination, or inappropriate behavior will not be tolerated.

7. Prohibited Activities

You agree not to use the Services for any purpose that is unlawful, harmful, or otherwise prohibited by these Terms. This includes, but is not limited to, the following:

• Submitting any content that is discriminatory, hateful, threatening, or obscene.
• Impersonating any person or entity.
• Violating any third-party intellectual property rights.
• Attempting to hack or gain unauthorized access to our systems.
• Using the Services in any way that could interfere with the use of the Services by others.

8. Intellectual Property

All content provided by Philos Academy, including but not limited to educational materials, resources, and tutoring sessions, is the intellectual property of Philos Academy. You agree not to reproduce, distribute, or use this content for any purpose other than personal academic development without explicit permission.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, AND PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold us harmless from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising out of or in connection with your use of the Services or your violation of these Terms.

12. Termination

We may terminate your access to the Services at any time, for any reason, without notice, including if you violate these Terms of Use. We may also remove any User Content from the Services at any time, for any reason.

13. Governing Law and Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms will be resolved by binding arbitration in New York, New York.

14. Entire Agreement

These Terms constitute the entire agreement between you and us with respect to the Services.
